How to (Ethically) Improve Your Negotiating Style

As in-house counsel, you are asked to advocate your client's negotiating positions in the strongest possible manner to achieve your client’s deal objectives. But your negotiation style to support your client can cross the line into ethical violations and liability for fraud and other actionable misrepresentations.

  • When do your aggressive advocacy puffing or bluffing tactics cross the line?

  • When must you verify the accuracy of your client’s representations before you draft agreements or negotiate based on those representations?

  • When can you stay silent if your counterparty does not seem to know the law, or know a material fact?

  • How much can you coach your client to negotiate directly with another business counterpart?

Join us for a lively conversation identifying the most pertinent ethics rules and examining cases of how other lawyers taking negotiating risks found (and crossed) the line. Walk away with a more confident understanding of where to locate the line, to improve your negotiating tactics without increasing your ethical or legal liability.

  • Rules 1.0, 1.6, 4.1, 4.2, 4.3, 8.4

Once Upon a Time: Ethical Fairy (and Scary) Tales

This program will include a discussion of current ethical challenges for lawyers and examples of ethics issues arising in the past year, including:

  • Ethical challenges posed by conflicting cannabis laws and regulations

  • Siri and Alexa: Are you being recorded without your knowledge?

  • Emojis and hashtags

  • ABA Formal Opinion 483: “Lawyer’s Obligations After an Electronic Data Breach or Cyberattack”

  • Social media blunders (yes, again)

  • Rules 1.1, 1.2, 1.6, 6.1
